With just a processor upgrade do I need to re-install Windows??

I'm planning on upgrading my processor and processor only from an Athlon XP2000+ to like a 2400 or so....do I necessarily need to reinstall the OS or will it be okay?? Any instabilities?? Should be just the same as over-clocking a chip right??

It should be fine just swapping the processors.
