At times while trying to install new NIC, or if the existing NIC was unsitted, or and Win98 just feel like playing with your nerves. Windows refuses to recognize the NIC, or insists on Drivers conflict.
Few things can be tried.
First make sure that you have the most updated Drivers (look at the manufactures site).

Most modern Motherboards have more PCI slots then available IRQs, some card don?t like sharing IRQ, trying to install in another PCI slot may help.
Sharing the IRQ is an individual ?Taste? of the card, it is possible that another card (not an NIC will agree to use the slot). Consult your Motherboard manual concerning IRQ and PCI slot assignment.

In Win98 installations PCI LAN card, at times would create a "Ghost" device, i.e. malfunction software adapter that stays in the system, and does not let the correct drivers settings to be installed.
You can try to correct it by:
Remove all NIC installation from the Control Panel / System properties.
Shut off the computer, take out the NIC, and reboot. Check again Control Panel / System properties. If there is any installation of the NIC remove it, and shut off again.
Shut off the computer, re-install the NIC, and let it be detected.
Install back all Network drivers, and protocols, and go over the settings.
In most cases this process will clean the system of Hardware related conflict of the NIC.

Some times the PnP during boot can not detect the NIC, but clicking on Control Panel / Add New Hardware, and forcing W98 to try to detect New hardware will yield better results.

If the above does not work.
Boot the computer into the Motherboard BIOS.
In the PnP/PCI section where you can assign, PNP OS installed, if it says Yes change it to no, or if it says NO change to Yes. Reboot and see what takes place.
Doing so usually forces Win98 to reorganize the IRQ, and usually will detect forgotten hardware.
Be aware that this process may change the whole system IRQ assignment.
