WinXP won't Shut Down. Anyone know of a fix?

It's as if I have an AT mobo all over again.
Windows 2000 always shutdown.

Asus P2b-f with newest BIOS
WinXP version 2002 (RTM)
I get the old 'safe to shutdown' splash screen and have to hit the power button.
same with hibernate.

If i click the APM check box when I shut down the computer it RESTARTS. Disabled the Restart if system failure checkbox. Still restarts.

Looked in BIOS can't find a ref to APM in power magmnt schemes.
On the suggestion of someone I Reformated reloaded after check the BIOS setting PNP OS
Still didn't work.
Is there a log I can view to see if I have a situation?
