WinXp + GTXP + 3.02 Drivers - WTF?!

I tried To install the 3.02 Drivers for My Game theatre Xp, But at the end of installion it says "Installation Cannot Continue errors occured" then "Invalid Data" WTF? The Old ones Dont work either, WTH Do I DO?!!!

Setup-

AMD TBIRD 1000
512MB RAM
GeForce 3 ti 200
Hollywood + Decoder
GTXP

All On an ASUS A7V

Running Windows XP RC2.
