but I can't figure out what is causing it! I ran antivirus in safemode, but came up empty. Anyone have any ideas...i also tried removing some stuff from startup in msconfig...nothing has worked!
Remove everything from Startup in MS CONFIG, and then disconnect any external peripherals. It has to be a driver. Have you checked your BOOTLOG.TXT file?
You're getting to the kernel phase of booting in XP. When at that stage possible failures can only come from Registry problem(s) or files. Nothing else. Isolate the problem into either category. Since you're not getting a bluescreen, my first guess would be a service failure which can be checked with Safe mode or Recovery Console.
