What is the difference between win xp and win xp 64-bit? Does it have to do with the new Athlon XP processor? Thanks

WinXP 64-bit Edition is for Intel Itanium processors (Merced and McKinley) ONLY.

No.

WinXP 64-bit Edition is written for IA-64, not x86-64.

Will it be compatible with the upcoming AMD 64 bit chips?

I don't think there's anything official from MS, but I have heard that there will be a version. And it would seem dumb on MS' side to totally ignore a processor that will do pretty well because of it's backwards compatibility, but you never know, maybe they'll just say 'run it in 32-bit mode' like they did with NT for Alpha.
