windows wont load with nvidia drivers after mobo change

ok, so I am running an XP2600+ on an ECS KT600A with 512 of PC2100. Anyways, XP wont boot if I load the drivers for my MX4000 Video card. Any idea on what could be the problem? It sticks at the XP screen when I boot.

Part 2: I am upgrading my ram to CP3200 for better performance. Will I notice a big difference after the upgrade?
