Windows freezing after booting up, before desktop completely loads

Occasionally, my computer locks up after Windows ME begins to load (desktop is shown, icons too I think, but the system tray is empty). This happens like every other time I boot up, sometimes one out of three. I can't tell for sure because I keep my computer on for days at a time. Its kind of random.

What could be causing it? Is it for sure a software error? Its not because my CPU or video card is starting to fail is it? Because I can't recall if this happened when I first got my video card (Radeon DDR 32meg).

I am overclocking my celeron from 533 to 800, but I had it at 880 before. Both speeds have the same problem. I'm away from home right now, so I can't just change it to 533 and check it.
 
try rebooting in safe mode a few times, and see if it freezes. if it doesn't, then you got a driver problem of some sort. if it does, then its most likely your hardware or your OS
