Windows 7 upgrade requirements

I've read a number of places on the web that upgrading to W7 will require and activated installed copy of XP or Vista. Its also clear that all XP upgrades and most Vista upgrades require a clean install. So how do you upgrade XP to W7?

My bigger question is this: I was planning to buy the 3 license family pack. I have an XP computer, a vista ultimate 64 bit computer, and a old XP computer I just retired. This last computer was replaced and I put W7 RC on it planning to upgrade in the short time when W7 comes out. All are (or were) activated. Am I going to run into problems with licenses when I try to upgrade?
 
Just did it half an hour ago. My version is Win 7 pro. I could not directly upgrade from XP. I had to copy all my important stuff to another drive and then install from scratch.
Have no idea about the 2nd question.
