Windows 7 Ultimate vs. Windows 7 Home

Sorry if this has been discussed before and forgive me if this seems stupid. I have the chance to get Windows 7 Ultimate 32bit for almost nothing. I plan on putting this on my dad's new machine which is using a Intel i5 760 and 4gb of ram. Ultimate is the only version they offer. Would there be any downside to putting Ultimate on his machine?

The only thing he does is office type work and the occasional listening to music and watching youtube videos.

If I don't put Ultimate on there, I will put Windows XP on there. There were a couple of programs that I was not sure would work with Windows 7 but have found out they do. So if those programs work with Windows 7, does that mean they will work with any version of 7? I don't see why they wouldn't, I just wanted to make sure before I put it on there. Would there be any performance issues with Ultimate?
 
If they work in Win7, they'll work in any Win7(not counting bitness). There's no performance difference. Ultimate just has more features.
 
Okay good. After doing some more looking, it looks like this is an upgrade version. On down the road, would I be able to do a clean install of Ultimate and how many times?
 
For an upgrade? You technically need an O/S to upgrade from. I believe the workarounds from Vista still work, but you' be violating the EULA.
 
Crap, that was what I was afraid of. This might sound silly but I can not reinstall Windows if Ultimate is already installed?
