Windows 7 Pro and Vista Ultimate - I want to swap them on 2 machines

I have Windows 7 Pro on my laptop and Vista Ultimate on my desktop.

I am awaiting my desktop upgrade hardware and when it arrives, I want to install Windows 7 Pro on my desktop.

Can I just install Windows 7 Pro on my desktop and them format my laptop and reinstall Vista on it?

Will I have to do phone activation on both since the computers are changing?

If they are both non-upgrade retail versions then yes. If they are purchased oem versions, it will probably work, but it violates EULA. If they are licenses that were provided with the machines, then it probably won't work.
 
Win7 Pro is Academic and Vista Ultimate is full Retail.

So they are both "retail".
