Win98 and Spider Type III CDPD Modems

I am in the process of upgrading some Panasonic CF-25 laptops from Win95 to Win98. After the upgrade I run into a problem with some of them.

After the drivers are installed for the Spider Type III CDPD modem everything works fine. When I shut down the computer, wait a few minutes and reboot the computer loses the modem. I check the Devices and find that the modem shows the driver not loaded, yellow ! on the device. If I then remove the device and shut down it finds the device and istalls successfully when I reboot. The connection is made and everything works fine. I then shut down and I lose it again when I reboot.

I called Spider - they don't support the Type III - no help. Panasonic says it is a voltage problem. How it could change the voltage from Win95 to Win98 is beyond me! And they want $250 to fix.

I thought of using autoexec.bat to remove the device before Windows loads, but cannot figure out how to do that.

My plea for assistance is...
1. anybody have simple solution for this?
2. anybody know how to remove the device through DOS using autoexec.bat?
3. anybody with similar problem?

I am getting rid of the Spiders, but cannot afford the number involved all at once!
