'WIN95 RPC Wmsg Window' not responding message problem

Lately I get 'WIN95 RPC Wmsg Window' not responding message everytime I shut down. It seem it gets activated on start up and stays in memory in this not responding state till shutdown.

Software:
Win98
Norton Systemworks
PC:
PIII 850/100
Abit be6 board (bx chipset)
512 mb. SDRAM
15 gb. available HD space

I have recently upgraded ram from 256. I had added added Min/MaxFileCache lines in system.ini (vcache).

Please help me for a clean shut down.
