Win2k SP3 install problem

Hi all
I am running Win2K Pro on my IBM T22 laptop.
I am trying to install SP3 after downloading the complete file from MS website.
The process goes smoothly for about 2 minutes before giving message (during 'Inspection of system') that 'netid.dll is open. cannoot proceed with installation of sp3' I have closed all applications open.
Is there a specific process in Task manaer that I need to kill?
