Win2k Reboot during shutdown help?

I can't figure this out to save my life! I have Win2k and Win98Se in a dual boot setup on a 20 gig Mator Drive. C drive is Win98(2 gig), D drive is Win2k(2.5 gig FAT), and E drive is the rest of the HD for programs and apps. When i shut down(start/shutdown) it will sit for a long time and I can hear the HD making noises like it is trying to shutdown, but it ends up just restting. I get the Win2k Dialog that says shutting down, it goes away and then the HD makes the noises(not bad noises). I have a 300watt Deer Power supply and a Soyo SY-6BA+ IV with a Highpoint ATA66 controller on board. The CD and zipdrive on my system is connected to the ATA33. Any ideas to fix this problem?
 
I have this problem too. so are some of the servers on my workplace. It is trying to shut down some stubborn services that just won't shut down.

My system wasn't shutting down too. It was displaying "now it is safe to turn off you computer" and I needed to turn it off manually.
Activating the apm in control panel it restarts when you choose shutdown.
