Win2K Hangs on Shutdown/Restart

After I use the computer for alot of different tasks for a while, this happens. I'll select shutdown, the dialogs saying Windows is saving and Windows is shutting down pop up and disappear, the USB keyboard and mouse turn off, and then the system hangs.

If I immediately bootup and shutdown this doesn't happen. It doesn't happen if I run on or two programs either (I've determined it isn't any specific program/hardware). Only after extended periods of use.

Any suggestions?
