Win XP can not shutdown!

My system can not shutdown but reboot after installed Win XP, it work fine with Win 2K Pro. I upgrade from Win 2 K and dual boot with Win Me. Have any ideas?

My system:
- Mainboard Asus CUSL2-C w/o Audio, BIOS 1009.
- SDRAM Kingston PC133 CL3 512 MB (256 MB x 2).
- Asus V7700 Deluxe.
- HDD Maxtor 30 GB 7200 RPM.
- CDROM, CDRW SONY 140E.
- SB Live Value.
- 3COM Us Robotics 56K External Modem.
- ZIP Drive 250 USB
