I've been having a problem with windows 7 rebooting on me. I'm usually just surfing web and listening to music when it happens, but also does it when sitting idle. Its been happening for a while now, but I just installed a new cpu and its been happening about every day.

System:
Win 7 x64 v6.1.760
Amd Athlon 64x2 6400+ 3.2GHz
G skill F2 4gb (2gbx2)
ocz stealth stream 600watt (ocz600sxs)

To the best of my knowledge it is, I took it off cleaned, reapplied the heatseak compound and reseated it

Sounds like ram! Did you set your ram timing and voltage? Sometimes the default settings in the bios are not right. Or you have a bad stick of ram which you can run memtest to find out

Boot onto Safe mode and see if it happens too.

I had the same problem, but it was with a system I just built. It turned out to be the memory.

What were you doing when this occurred? i.e. you'll need to narrow down what was running whenever the system shuts down.
I was just surfing the web (using Opera 10.5) when it crashed that time, but its crashed before when I just let it sit for a couple hours with no programs running.

Haven't messed with any of the ram settings cause I would know what i'm in doing with that stuff. According to Everest they are:

Module Name G Skill F2-6400CL5-2GBPQ
Module Voltage: SSTL 1.8
Memory Timings:
@ 400 MHz 5-5-5-15 (CL-RCD-RP-RAS) / 24-51-3-6-3-3 (RC-RFC-RRD-WR-WTR-RTP)
@ 266 MHz 4-4-4-10 (CL-RCD-RP-RAS) / 16-34-2-4-2-2 (RC-RFC-RRD-WR-WTR-RTP)

Just got finished running memtest86 didn't come up with any errors.

Boot onto Safe mode and see if it happens too.

gonna try that here soon see what happens

okay, Since I have windows 7 64bit would I be able to take a stick of ram out and run on only one stick of 2gb just to test the memory one at a time or would it not run on 2gb of ram? Thanks guys I appreciate it

Memory problems will mimic the failure of every single hardware device and/or program on your computer.

I've been pretty busy with a new job and haven't been able to post but here are some updates:

Ran more memory tests, came back good.
Ran in safe-mode for awhile still would reboot automatically
Removed video card/drivers, still reboots using on board video.
Swapped ram from another computer(2gb total) still reboots.

I thinking its either the motherboard, cpu, or maybe windows 7

I've updated my chipset drivers still having reboots.
I used to run an AMD Athlon X2 2400+ and would have the same problem just not as frequent maybe once every week or so, now that i've switched to the Amd Athlon 64x2 6400+ its been happening atleast once a day.

I haven't seen the exact temp when it reboots, but from what I've seen cpu temps usually are between 44-55 C. and motherboard is at 30c right now

Are there any other tests or things i can do to figure this out?
Thanks

The problem isn't Windows 7. It has to be hardware. I think you've narrowed it down to the motherboard.

Random reboots is a nasty hardware problem that is pretty much unacceptable to me. Did you try another power supply?

Haven't tried another power supply, mostly because I don't have one that isn't being used.I guess I know where my first paycheck is going :)
