Win 2K : Upgrade vs. FULL

I'm trying to setup a dual boot on a seperate hdd (primary-slave) on a system that already has win98se installed (on C drive). I have read this is pretty common and easy. Here's the question: can it be done with a Win2k UPGRADE version? Or do I need the FULL version to do this?
