Eventhough the GTS 32mb is only $10 more, you should definately get the GTS-V from Newegg.com in the westcoast or
http://www.essencompu.com/ in the eastcoast. (Newegg has cheaper shipping) for $49. First of all, you probably won't be able to tell the difference with the two cards in most games you would play. Only benchmarks will show the difference.
Overclocking is very simple. You would be able to get the GTS-V running faster than a stock GTS.
There are three ways I know of to overclock.
1. Use coolbits -use google search
2. Use Powerstrip -use google search <-- Powerstrip allows high settings
3. Using visiontek 23.11 drivers from their website then: go to = control panel>display>settings tab>advanced button>GeForce2 GTS tab>additional properties button>clock frequencies =highest settings allowed are 220mem/360ram
