Im about to get an x800 XL, AMD Athlon 64 3200+, and a new mobo for that stuff..

I only have a like 350 watt PSU.. will it be able to handle that?!
 
It would depend on the QUALITY of the PSU that you are using.

If the +12V has a rating of 20-25A or better, and you will not be using
the card in a SLI setup it should be good.

350W is actually the minimum recommended by AMD.
