Will this PSU work with this MB?

Well your PSU doesn't have an 8pin CPU connector, only a 4pin. If you don't plan on running an overclocked quad core, you should be able to swing it. The 4pin will fit in the 8pin slot, but obviously will not provide as much power.
 
Very old design of a power supply as seen from the voltage selector on the rear of the power supply. I'd look for a more modern ps with active PFC on it.
