i dont think it will fit but if the New CPU (939) is a box CPU, then it should come with a HSF

I bet you would! It's a 950MHz overclock on the stock AMD heatsink.

Don't know but what does that have to doe with the heatsink and fan?

I asked about the heatsink/fan combo...not a 939 cpu in a 754 mobo.
