Will old heat sink (Athlon64 3000+) work with new CPU Athlon64 X2 4200+?

I have a Shuttle system that uses socket 939, and is running on a Athlon64 3000+ core right now. I'm thinking of upgrading to the X2 4200+ (http://www.newegg.com/Product/...?Item=N82E16819103053).

It's OEM, so it doesn't come with heatsink and fan. But I should be able to just reuse those components from my old 3000+, right?

I think it would work, but you'd be pushing it.
Try to find a used OEM copper (4 heatpipe) HSF, since that shuttle cube will be warm anyhow.
