It should be a drop-in replacement for the existing 4650 GPU.

I might look for a 1GB GDDR5 card instead of 2GB GDDR3 in one can be found in your price point (if 2GB GDDR5 is out of your budget). The r7 240 probably isn't fast enough to really benefit from 2GB RAM, while it probably will be limited by GDDR3.

You might also want to look at the used market where could probably get an older, yet more powerful GPU for about the same money.

why are you changing cards? the 240 is little more than a side grade to the 4650 so hope you are not looking for an "upgrade".
 
What is the purpose of this upgrade. I'm not sure you'll get all that playable game performance from it, much like your existing card, but then again, I don't know if that is what you want to do anyway.
