Looks like your only worry will be if there is enough clearance between the socket and the capacitors that surround it. My guess is that if a PAL-6035 fits, then you shouldn't have any problems fitting the CAK-38.
Do not use the motherboards 3 pin fan connectors for the fans on that heatsink. You'll only burn out the connectors and the traces on the motherboard because of the high current draw.
