Will 450watts be enough for a 6800gt

just wondering if I will be ok with a OCZ 450 Modstream and an evga 6800gt vid card. here is the whole set up, let me know if you think it is fine or if i should go with the ocz 520 modstream.

System:
Athlon64 3200+ venice
asus a8n-e mobo
evga 6800gt
1 (maybe two) sata hardrives
dvd burner
2-3 case fans

how much head room for overclocking as well?

Folding 24/7 and playing games at the same time.

CPU, GPU and a single case fan spinning at 5 volts - no heat issues either.
 
The power supply you're referring to has more than enough power for the parts you listed. There is plenty of room left on that power supply for overclocking both the CPU and video card. It is generally recommended that for an athlon64 system you have at least 22-24A on the 12V rail. Since the OCZ modstream 450 has 26A there's plenty of power available to keep your system stable. That is one of my favorite power supplies for the money.
