My PC is this:
Asus K8V SE Deluxe
Athlon 64 3200+ (socket 754)
1 Gig of RAM (2x512, DDR333)
BFG GeForce 7800GS (AGP)
As you can see, I don't have many upgrade options with AGP and socket 754. Right now I have the opportunity to replace those memories with 2x1GB DDR400 from G.Skill.
Would it be a good upgrade for me, or not worth the money?
My motherboard only has 3 slots, so I'd have to get rid of at least 1 of my current memories. If I put the two new ones plus one of the old ones, I'll only have a 200MHz speed, and if I put only the new ones I'll have 400MHz, according to this picture from my mobo manual:

So I think I'd have to get rid of both the old ones. I probably won't be able to sell them, so they'd be just wasting space around.
