I have two cpu/mobo combos sitting in front of me:

2.8c with 865PE motherboard

and

athlon64 3200+(newcastle 2.2Ghz, 512KB cache) with K8T800 motherboard without PCI/AGP lock

The p4 combo has more options and is cheaper to keep. The AMD64 combo will cost me about $100 more, and does not have as much overclocking ability. Which should I choose? I am going to use this for everyday computer use, word processing, surfing web, music, and also gaming. I've got a 9700pro to pair with this combo. How well does the athlon64 overclock? If I were to overclock both, which would give me better performance? How about better price/performance? Thanks for your input.
 
If you don't care about 64 bit future options with windowsxp, the p4 will work fine. But the athlon 64 is the better gamer. The p4 might overclock better, but only if your motherboard is decent. You didn't list the brand/model of p4 mobo.
 
I vote Athlon64.

I use to have a P4 and got rid of it for a A64. I just upgarded to a 3200+ (like the one you listed) and set the FSB to 209 so I get around 2.3Ghz now. My board also does not have a AGP/PCI lock.
