Which Quad-core Kentsfield would be best for my needs?

I plan on purchasing a Quad-core system in a few weeks and I'm absolutely torn between these two processors. They can both be had for the same price and appear almost identical to me. o_O I know these threads have popped up time after time, but I have a few questions of my own:

1. Will the X3220 work on new X38 boards? I know the processor is LGA 775 so that means it should theoretically work with all LGA 775 chipsets without any problems right?

2. Will the same aftermarket cooling work that works for Q6600 work for X3220? Are these two processors pretty much the same thing physically meaning the same cooling solutions should work interchangeably?

3. Which one of these should I pick for light overclocking? I plan to only modify the FSB on these processors for a light and easy OC to 3.0ghz without *hopefully* messing with the stock voltages.

4. Is there absolutely any difference between performance of these processors? Will one of them excel over the other one in certain tasks such as gaming, multitasking, audio/video encoding, etc... Does the whole workstation class of processors just mean it's made with higher grade material?

YES

Yes

Either one.

No difference. Yes xeons processors are binned to work with a lower stock voltage to produce less heat and hence last longer in a 24/7 work environment. However this is no indication of how well they will overclock, or that they will run cooler when overclocked. Its just a guarantee that at stock settings they will run cooler.
