I'm building an HTPC and a Server? Even though the core 2 duo is newer, does the 1ghz difference makes up?
 
C2D E6300.

Clock for clock it's about 2x as fast as a Pentium, so you'll need something like a 3.7GHz P-D to match it.

For HTPC, Pentium D (especially the 8xx series) is probably the worst possible choice you could make. Remember that those HTPC cases have very poor airflow for a chip that hot.
That said, the E6300 is quite powerful and cool...

However, why do you want a dual core for HTPC? The CPU is one of the least critical components for HTPC systems...the case, motherboard, and video accessories are far more important.
I would suggest either a Sempron 3600+, an A64 3500+, or even a P4 631 (65nm single core 3GHz).
 
Go for the E6300 since it doesn't get as hot as the Pentium D 2.8.
Heat is a big factor when building a HTPC because most of them have very poor cooling options.
 
I have a dell 9150 with the 8xx and just bought a core 2 duo 9200.
I'm just putting the case into my furniture.
