Hey.. I'm thinking about upgrading to 64bit but kinda stuck at the cpu.

A lot of resource hungry plug-ins will be working at the same time.

I already have 2gb pc3200, so you shouldn't think about that.
I'm also getting the Asus A8N32 SLI Deluxe

I'm thinking about Opteron 146 / 3200+ or Opteron 148 / 3700+ (divided in price/ghz).

Which is best for the job? Opteron or AMD64?
Would the xtra power be the worth the xtra money?

Probably the Opteron, though it is impossible for me to tell you why, which means there is no reason at all to look at one over the other. Getting a dual core would help much more than getting a faster processor, because it would drastically reduce the chance of getting hangups while recording.

Just read that Steinberg Cubase SL/SX v3.1 supports dualcore, so that would go under heavy consideration. But what about an overclokced Opteron 146 2ghz -> 2.8/3ghz? Would X2 3800+ still be better?

^ I would still go dual core. There is no point in not going dual core nowadays.

For now only pro 3D rendering and multimedia encoding benefits from dualcore, and now pro audio recording/playback it appears.

I have this link where different setups are running Cubase SX2 and 3.0. Unfortunatly no one is running with the SX3.1 update (supporting dualcore). The 4400+ is a clear winner, but the xtra 200mhz is not worth the xtra bucks! Not in my book.. The Opteron performs quite well with 3.0. Stlil.. it's not v3.1!
