What's the deal with Windows directories readonly and grayed out?

Last night I could not upgrade SpyBot - it got to the Plugins directory and said it could not deal with the 4 dll's - "access denied". In unix that generally means permissions. But there were no ReadOnly checkboxes checked. So I wondered if the directory was the issue and it was checked ReadOnly and grayed out. I could uncheck it but it kept coming back.

I read on another forum just now, that the grayed out folder checkbox is meaningless.

So ... wonder why the SpyBot upgrade said access denied.

Too late to go back and investigate, I already just uninstalled it and installed fresh

No, but now I did [had to uncheck Simple File Sharing, but that showed the Security tab]. All the current files show all permissions. I cant go back to the previous install, so now it's just an exercise in curiosity. Oh well.
