what's that legal term?

there's a legal term where a ceo/management must act responsibly and favorably to the company he works for i.e. he shouldn't benefit from a deal. what's that term?!?!

like there's a word that means "to act with good faith"

Fiduciary is correct. From Dictionary.com: "One, such as an agent of a principal or a company director, that stands in a special relation of trust, confidence, or responsibility in certain obligations to others." Also, "A person legally appointed and authorized to hold assets in trust for another person. The fiduciary manages the assets for the benefit of the other person rather than for his or her own profits."
