What's Dialing my Modem?

How do I tell what application is trying to dial my modem? I have my computer set up to autodial when I start IE 5.5 and/or Outlook 2000. It is also set up to auto disconnect when both are stopped. Sometimes, ONLY WHEN THE AUTO DISCONNECT HAS JUST DONE ITS THING, the system begins to dial again when no apparent application is open. How do I tell (with cntrl-alt-delete) what application is doing this?
 
There's some things you may not know about. Winamp, more specifically, winamp agent will dial out.

MusicMatch Jukebox. Maybe other jukeboxes as well. Anything that uses CDDB connectivity.

You may have spyware that's trying to call out. Most don't seem to actively try to establish an internet connection, but I don't have any plus I'm on a cable modem so I don't know.

Recently I installed Download Accelerater Plus. It tracks where you go and reports this so adds can be targeted toward you (yes, that classifies this program as a type of spyware.) After installing, my computer started dialing on it's own on occasion. Even if you hit disconnect, it would keep dialing time and time again. If I let it connect and watched my connection, a lot of data was being sent. I uninstalled DAP and havn't seen my computer dial, but that was only a day or two ago. Hope this helps.
 
I could be wrong but I don't think it is a virus. It is using my dial up connection, not accessing my modem directly, and I can recognize the dial tones, it is dialing my ISP. All I want to know is how to track down what application is calling the dialup connection.
