whats better this should be a easy question

you have processor a

512 l2 cache 400fsb

you have processor b

256 l2 cache 333 fsb

what would you get say both are 1.8 operating speed

Both processors use the same core? E.g. two Pentium4's, two AthlonXP/Sempron variants, etc? Then more cache is good and faster FSB is good, so #1 is going to be better on a per-MHz basis.

If they're different brands, or different CPU families, then It Depends? :D

athlon xp 2700 2.1op 333fsb 256 l2
athlon xp 3000 2.1 op 400fsb 512 l2
intel Celeron D 345 3.0 Prescott 533MHz FSB Socket 256 l2

which 1 of those is the best

1 if overclocking
2 if not overclocking

This article may help you get an overview of Celeron D in different types of usage, although the highest AthlonXP is a 2600+ here: http://www.anandtech.com/cpuchipsets/showdoc.aspx?i=2093

I would get the AthlonXP 3000+ on an nForce4 Ultra400 motherboard with good-quality PC3200 memory (or faster) if it were me, but only if I couldn't afford an Athlon64 2800+ instead.
