what motherboard can i get?

I currently have a out dated pc and i am looking to upgrade my motherboard and processor. I currently have a ati radeon x800 video card, agp version. I also have 2 sticks or patriot ddr ram that add up to 2 gigs. I am not looking to get rid of either of those at the moment. They were very expensive at the time and i have never had a problem with either of them.

I was looking on newegg and i am looking to hopefully get a pentium D with the 2 mb of L2 cache. I am still open for some sigestions on the processor but the 2 mb cache is a very big plus for me.

I am trying to make a media pc out of whats left of the computer i have now so take that into acount when giving advise. I am also not looking to spend too too much money at the moment so keep that into account too. like 300 dollars for processor and motherboard if at all possible. thanks for your help let me know if you need any other informaions.

I have an athlon 3200 with an asus motherboard i forget exactly which one exactly. I have 1 gig of ram that is kingston value ram. do you think that might be enought to run a media pc and to play some games on it. I want to be able to watch tv and record at the same time. I am going to get 2 tv tuners and one of them has a built in mpeg encoder. let me know if anyone knows if that can handle it well or if i should get something better.
