What is the difference in these two fans

I just replace the original HP cooling fan
with this
Original Fan was dying on me causing Laptop to shut down
I know they both rated for 5 volt but don't know watt and Amp plus CFM.

One uses 1.75W of power. They are both 5V. The other draws up to 0.40A of current. 5V x 0.40A = 2.0W.

I would venture that the two fans, if the same size and mounting standard, would be interchangeable for most purposes.

Generally, the CFM of a fan would be determined by size, speed, and to some variable and lesser degree -- by fin design. If the fans are the same size and thickness, they will spin in an approximate range of RPM -- likelier the beefier 0.40A fan a little more. So I would expect the second fan might have slightly more CFM. If the fans are different sizes and thickness, I wouldn't bet on my own guesses -- and I probably wouldn't make any.

So new one which 2 watts more beefer
They are same size and replacement fan (bottom) appears to be working alright

When you say this is an "HP cooling fan," do you mean it is the fan on the CPU cooler? If so, I'd guess that the amperage difference is way inside tolerance if the fan is connected to the motherboard. So you'd be good to go. As you say, "it appears to be working."

The new fan isn't more powerful by 2 watts, but only by ~0.25W. Generally for the same sized fan, the speed varies with amperage as does the throughput -- more or less.

Yea, my laptop CPU and GPU cooling card was spinning at its own accord. Laptop self perseveration system keep shutting it self before it could melted away.
I look at ebay, and found $4 shipped for this; I just couldn't say no to it. So bought it. Since installed it and cleaned off 2 tons of Dirt/Dust from tinny heat fins. Seems like it blowing HOT air out.
So far it has not complained of Hi temps or shut it self off! :)
