Msgsrv32 is an OS component that broadcasts notifications to win32 ring3 apps from ring0. It's a fairly fragile peice of the OS (but I can't tell you what might be screwed up on your system messing with it).
I do generally hate these 'run a real OS' responses, but 98 is pretty old now. If you don't want to upgrade I'd suggest at least considering 98se. And if you are interested in upgrading, I'd suggest skipping ME (treat it like the plauge) and go to XP.
