What does a COA do for my Win98SE?

I have a Win98SE upgrade CD that I use with a Win95 full version CD disc. I would like to sell one of my computers but want to format the hardrive before selling.
Will purchasing a COA for $38 be the right thing to do? Will this give me a new code number?

I am un-famliar with the COA and also they offer a Win98SE CD disc with keycode but without COA and manual for $58.
Please describe in "lay-mans" terms please. Thanx, Weber
