What consitutes a valid (read: leagal) version of MS software?

If one were to buy an authentic, unused COA and Key, and a CD-R copy of the medium would this conform to MS's requirements?

Please, no opinions - just the facts!

I emailed MS a whuile back to find out how to resell my retail copy of XP.. They told me I have to have:
1 the coa
2 the user agreement
3 damn, i forgert... I'll look for the email..


**I must ave deleted it.. Just email piracy@microsoft.com and ask, they took less then 24hrs to respond to me..**
 
At least they didn't work for me....I tried to resell my MSDN Subscription from 2000 and I had scratched some cd's to the point of unusability, but I did have images of them so I burned them and listed that in the auction. MS yanked my auction from EBAY saying I didn't conform to the MSDN standards for reselling.

Granted this was MSDN but the rule was:

All of original Media
All correspondance that came with the media (including license codes and whatnot).

If you tried to sell MSDN stuff from 2000 in 2003, your license was expired. There's a reason why it's called a "subscription". I know it sucks.

 
MS's software sales are based on licenses rather than media. If you have a license certificate (should have the serial number/key on it), then you're legal. You can in fact buy just the licenses from some places; for example, that's how corporations buy software--one cd and a thousand licenses.
