What am I doing wrong?

I just purchased an Asus a7v8x-x Mobo and a ath- 2400xp processor.

My problem is this...

when I put everything together, I powered on the system and the CPU fan spins up for about 3 seconds then stops. Nothing else happens, no beeps, nothing.

Am I missing something or is it just a bad CPU?
 
For more information, I am using Mushkin 3300 ddr 256MB module that works in another system. I only have the video card, ram and CPU installed ATM...
 
Check the guide that I've linked in my signature and see if your heatsink is reversed.
