Weird ASUS M4A785-M Motherboard Problem

I got this Motherboard M4A785-M about 3 months ago. The other night I lost
internet connectivity and traced it to a failed Lan Chip on the Motherboard.
Since I had one vacant PCI slot open I installed a old D-Link DFE-550TX NIC.
I have multiple OS's and Win7, my WinXP Pro and Linux Distro's could not initialize the card. Win7 I could understand. WinXP could not assign a IP address. It would time out with that error message. BUT, my wife's WinXPPro
recognized the card, assigned a IP address and it's working fine. WTF?

No, I didn't delete the old drivers. I did try disabling the onboard nic in the Bios but no help.
The NIC does show up in Device Manager and it say's it's working properly. No yellow marks
next to the entry. I can't figure out why it works on just that one instance of WinXP Pro.
