W2k problem; auto-restart at login!!

I'm, obviously, having a problem with W2K. Stuff loads through dos fine, loads up windows, then at the user login screen it restarts. This keeps happening until it decides to completely boot. Somtimes it loads on the first run, sometimes on the 5th. Also, I tried to reinstall some new ATi drivers, but when I uninstalled the old ones and rebooted to put the new ones back on, it will restart even from windows now before I can finish installation. Really annoying, I have no clue what's wrong....

Xp 1700
ECS K7VTA3
256 Crucial DDR
300 watt Antec

This is all happening after a fresh install/format, and I'ev alrady tried to fix the problem by reformatting so please don't make that your only suggestion!
 
My RAM works fine. It will work after the 1st restart, and I've run several games and such, so RAM shouldn't be the problem. Is this a problem that the W2K repair program could fix??
