W2K lockup when Matrox drivers are installed

Clean install of W2K using all hardware that worked great with W98SE. Changed to W2K because (big surprise) W9x eventually became so bloated/corrupted/constipated that defragging took 3hrs! Sys boots normally when using default VGA drivers, but with either Matrox' latest or MS-approved drivers, the desktop freezes solid just after I log in; need hard reset to get out, enter Safe Mode and disable video adaptor before it'll start normally. I thought perhaps the prob was with one of the TSR programs interfering with the video drivers, so I went to RegEdit and .../Software/Microsoft/Windows/CurrentVersion/Run and semmed out the programs listed. Didn't make any difference. Sys still locked. (Now that I think of it, I first tried installing the Matrox drivers right after the W2K install, and it hung up right after the reboot - no TSR programs then.) System specs as follows, and if more info is needed I'll be happy to dig deeper (working from different computer right now)😛3 @ 933, AOpen AX6BCPro Gold (440BX chipset), 384MB PC133 sdram, SB Live! X-Gamer, Linksys NIC, Promise Ultra100 PCI card with IBM 30GB 75GXP and Maxtor 20GB DiamondMax Plus HDDs, QPS 8432 CD-R drive, FDD, Windows2000 w/ SP2, IE5.5, and last/not least, Matrox G400Max Dual-head AGP graphics card.

I tried Matrox' tech forums, but it was after hours on Friday - too little, too late.

I will heartily appreciate any/all suggestion/thoughts that may help me out here. TIA!
