VxD error during shutdown, help

"An exception at 06 has occurred at 0028:0000000B in VxD. This was called from 0028:c002f285 in VxD" This occurs every time I shutdown.

I just built a new system: Duron 650 @ 950, KT7 mobo, Vodoo5, 256 pc100 ram. Everything is new except for my ram. I did have this error before in my old system. I'm just thinking I have some bad ram. I haven't OC it or anything. Does anybody have any ideas?

I appreciate any info here.
