Vista Ultimate OEM vs retail question

I'm looking to buy windows vista ultimate off of craigslist from a guy who looks legit. He's saying the copy was a gift from the industry but it does not have any retail packaging. It just comes in a sleeve packaging. Now the thing is, I plan on upgrading my mobo in the coming months and obviously if it's OEM then I'll need a new copy of windows. Anyway is it pretty much guarenteed that if the copy is in a sleeve packaging than it's OEM?

If it's a "gift from the industry", it's likely Not-for-Resale (NFR) software. Your link isn't working. I've gotten both "Retail" and "OEM" gifts of Vista from Microsoft, so I can't tell by what you've said so far.
