does anybody have any issues with this problem. as soon as i boot up i have around 50 processes running and already using 25% memory (good thing i have 4GB). i have done virus scans and everything and it found none. i noticed that it is a lot of windows operations that are running. any suggestions?

Leave it alone. I have 61 process' running, and am using 39% of 3.07gb. My Vista32 is running silky smooth. Let it do what it's designed to do.

well on my xp pro machine, the one i use mainly, i usually have between 34- 37 processes. its my first time with vista. i didnt know what it should be at. so it seemed like a lot to me

My point is just that the number of processes means nothing without a point of reference and you can't consider a completely different release of Windows a point of reference. Especially since MS moved more stuff from the kernel into userspace in Vista, separated Explorer from the window manager, etc.
