1. there is no difference in the actual product between "upgrade" versions of vista, and "full" versions of vista.
2. you must have windows 2000 or above INSTALLED for the upgrade version to work
3. OEM versions cannot be installed on more than one computer
4. Both "upgrade" and "full" copies of vista that are RETAIL CAN be installed on more than one computer, giving that you take the time to call microsoft. (like xp)

am i right with my statements? just trying to figure this all out...

There has been some debate on #2, I think there is a workaround if you don't have the prior OS installed but the install may take longer. There was a long thread around here about it

As for #4, I was just adding that for clarity, there are many many folks who don't understand that distinction (even tho you obviously do)...
