Not exactly true, it`s the same as XP for now at least. You are correct about the EULA, but MS is not that strict about it. I have Vista x64 HP OEM and I have changed my motherboard twice since I first activated and each time I had to call to activate it was the same old routine as XP. They asked how many computers I had it installed on, I said one, they gave me a code, it all took 1 min.😎

The scenario the OP gave is clearly not allowed by the EULA.

Assume that I bought a Dell laptop with Vista on it.
Then I took Vista out (FORMATTED HD/Bye Bye VISTA) & installed XP on the laptop (So Vista is not being used anymore).
Now, I would like to take the Vista which I just took out of the laptop & install it on another regular desktop PC.
That is my ??? 🙁

Two notes. You said downgrade, which your Vista license gives you rights to. So your actually saying you have a Vista license for that Dell AND you have a second unrelated XP license.
Unfortunately, even given the above, this is not allowed. The Vista version you got on the Dell is tied to that box and can't be put on another box. This is clearly against the EULA, it's been discussed in depth here before. You received a discount in price on Vista when purchasing the Dell (this, btw, presumes you got Vista onthe box from Dell and it's an OEM version, if it's Retail your scenario is fine as you didn't recevive a discount on the product in exchange for the restrictions). So you have your legal answer.
As for your technical question of 'regardless, will it work' the new forum policies like the old policies don't allow for discussions of piracy so this is a gentle reminder that we won't be able to have that discussion.
